Corporate Paralegal

Cooley is seeking a Corporate Paralegal

Position summary: A corporate paralegal provides legal support with general corporate maintenance and complex transactions for both private and public company clients. Specific duties and responsibilities include, but are not limited to:

Position responsibilities:

General:

  • Maintain corporate records and assist with compiling and organizing information and documents

  • Prepare legal opinions and assemble opinion back-up

  • Prepare corporate and securities filings and conduct related research

  • Prepare stock certificates and maintain capitalization tables and option records

  • Coordinate closings and prepare related documents

  • Obtain and file documents with public agencies

  • All other duties as assigned or required

Skills & experience:

Required:

  • Bachelor's degree

  • 1-2 years of general corporate experience

  • Willingness and flexibility to work overtime, occasionally on short notice

Preferred:

  • Familiarity with Carta, Shareworks, or similar Web based equity tracking system

  • Previous law firm experience

Competencies:

  • Excellent oral and written communication skills

  • Strong attention to detail with the ability to manage multiple priorities and track extensive details

  • Ability to establish and maintain good working relationships with clients and all levels of personnel and handle confidential information sensitively and discreetly

  • Ability to work independently and as part of a team in a fast paced environment, while demonstrating initiative, diplomacy and tact when under pressure

  • Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred

The expected hourly pay range for this position is $32.00 - $40.00. Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
